1. Purpose
These Marketplace & Contributor License Rules govern Contributor submissions, listing approval, buyer licenses, permitted uses, restricted uses, rights representations, takedown handling, and related conduct for BACKNEO marketplace features.
These rules supplement the Terms of Use, Content Policy, Copyright / IP Notice, and Credits Policy. If there is a conflict, these rules control for marketplace-specific matters.
2. Nature of Marketplace Licenses
Unless a separate written agreement states otherwise, a BACKNEO marketplace purchase grants the buyer a limited, non-exclusive, non-transferable, non-sublicensable license to use the purchased content within the scope selected or stated at purchase.
A purchase does not transfer copyright, trademark rights, moral rights, publicity rights, or ownership of the underlying source files or intellectual property.
3. License Types
3.1 Commercial Use
“Commercial use” means use in advertising, marketing, websites, social media, promotion, packaging, presentations, editorial-adjacent business materials, entertainment materials, and other business or revenue-related contexts, subject to these rules and any additional rights required by law.
Commercial use does not mean the content is cleared for every possible use. The buyer remains responsible for evaluating whether extra permissions or restrictions apply.
3.2 Editorial Only
“Editorial only” means use for descriptive, documentary, educational, cultural, historical, journalistic, critical, or commentary purposes.
Editorial-only content may not be used:
- in advertising or direct promotion;
- as a product endorsement;
- in a way that implies sponsorship, affiliation, approval, or partnership;
- in branding, logo creation, trademark use, merchandise, packaging, product templates, or promotional placement;
- in any manner that turns editorial material into commercial endorsement content.
4. Prohibited Uses by Buyers
Unless BACKNEO expressly allows otherwise, buyers may not:
- resell, sublicense, redistribute, upload, or share the purchased file as a standalone file;
- make the content available in a way that allows others to download, extract, or reuse it as a raw or substantially raw file;
- upload the content to another stock site, wallpaper site, template library, prompt-pack library, asset-sharing site, or competing media service;
- use the content to build or operate a competing stock, licensing, or public-download service;
- use the content as a trademark, service mark, logo, or exclusive brand identifier;
- falsely claim authorship or ownership;
- use editorial-only content for advertising, brand endorsement, or promotion;
- use the content in unlawful, defamatory, misleading, exploitative, or rights-infringing ways.
5. Restricted Areas Requiring Extra Caution
Even where a listing is marked Commercial use, extra rights, permissions, or legal limits may still apply where content includes or depicts:
- identifiable persons;
- private property or restricted locations;
- brands, logos, trade dress, or packaging;
- artworks, murals, sculptures, or copyrighted designs;
- notable buildings or protected architecture;
- vehicles, license plates, uniforms, or insignia;
- sensitive events, news contexts, or documentary situations.
BACKNEO does not guarantee that a listing is sufficient for every intended downstream use. The buyer remains responsible for determining whether additional permissions are needed.
6. Contributor Warranties
By submitting content to Contributor review or marketplace listing, a Contributor represents and warrants that:
- the Contributor created the work, owns it, or has the lawful authority to submit and license it;
- the work does not materially rely on unauthorized third-party source materials;
- any uploaded references, source files, or derivative materials used in creating the work were lawfully authorized for that use;
- any required releases, permissions, business authorizations, or supporting documents are genuine and valid;
- titles, keywords, and metadata are materially accurate and not intentionally misleading;
- the selected license type is appropriate and not knowingly deceptive.
7. Unauthorized Source Material Rule
A work is ineligible for Contributor submission, listing, licensing, sale, or public showcase if it is based in whole or in material part on unauthorized third-party source materials, even if the final file has been altered by AI, editing tools, post-processing, exporting, or derivative transformation.
Editing, AI transformation, upscaling, restyling, compositing, retitling, or reframing does not cure missing rights in the underlying source material.
8. Metadata and AI Draft Assistance
BACKNEO may offer AI-assisted title or keyword drafting for Contributor workflows.
Such assistance is provided for convenience only. It does not create ownership, release status, factual certainty, or commercial clearance.
Contributors remain responsible for final metadata, final licensing choice, and final rights compliance.
9. BACKNEO Review, Delisting, and Hold Rights
BACKNEO may reject, hold, suspend, hide, delist, or remove any Contributor submission or marketplace listing at any time where reasonably necessary for:
- rights concerns;
- policy concerns;
- fraud concerns;
- low-quality or misleading submissions;
- duplicate or spam submissions;
- complaints, disputes, or legal demands;
- public-safety or reputational risk;
- operational or compliance reasons.
BACKNEO may also hold or reverse related Contributor balances where reasonably necessary.
10. Takedowns, Disputes, and Refunds
If a listing is challenged or removed, BACKNEO may investigate and decide whether to:
- temporarily hide the listing;
- disable downloads;
- reverse the transaction;
- freeze related earnings;
- request additional proof from the Contributor;
- maintain, modify, or cancel the transaction based on available records and policy.
A buyer’s remedy, if any, is limited to what BACKNEO decides is appropriate under its policies and applicable law.

Buyers and Contributors should seek qualified legal advice where intended uses, releases, trademark issues, publicity-right issues, or territorial restrictions are unclear.
