1. Introduction

Welcome to BACKNEO.

These Terms of Use govern your access to and use of the BACKNEO website, applications, tools, services, marketplace features, public showcase features, storage systems, editing tools, upload bridges, and related functionality operated under BACKNEO.COM, together with its affiliates, controlling persons, and related operating entities in different regions (collectively, “BACKNEO,” “we,” “our,” or “us”).

By accessing or using BACKNEO, you agree to be bound by these Terms. If you do not agree, do not use the platform.

These Terms apply together with the Privacy Policy, AI Transparency Statement, Content Policy, Copyright / IP Notice, Credits Policy, Marketplace & Contributor License Rules, and Public Sharing, Creative Square & Temporary Transfer Rules.

2. Eligibility

You may use BACKNEO only if:

  • you are at least 18 years old, or the age of majority in your jurisdiction; or
  • you are using the platform under the supervision and legal responsibility of a parent or guardian.

The platform is not designed for unsupervised use by children.

3. Nature of the Service

BACKNEO is an AI-powered online workstation and media platform. Depending on the features then available, it may include:

  • conversational AI and text generation;
  • supported file and reference processing;
  • image generation and image-related workflows;
  • video generation and video-related workflows;
  • image/video editing and export tools;
  • digital asset storage, retrieval, download, and deletion tools;
  • temporary mobile upload and temporary transfer tools;
  • QR-based temporary sharing tools;
  • public showcase and Creative Square features;
  • contributor identity review, contributor uploads, and marketplace listing functions;
  • account, credits, wallet, contributor balance, and workspace management tools.

Features may evolve over time and may be modified, restricted, suspended, replaced, or discontinued at any time.

4. Account Registration and Security

Some features require a registered account.

You are responsible for:

  • maintaining the confidentiality of your login credentials;
  • ensuring your registration and profile information is accurate and current;
  • all activities that occur under your account;
  • promptly notifying us if you suspect unauthorized access, misuse, or compromise.

You may not share accounts in a way that bypasses intended account limits, payment controls, security protections, or safety mechanisms.

5. Credits and Paid Features

Certain features operate on a credits-based system. By purchasing, receiving, holding, or using credits, you also agree to the Credits Policy.

Credits may be used for activities such as:

  • generating AI responses;
  • creating images or videos;
  • processing supported files or references;
  • editing or exporting assets;
  • purchasing marketplace licenses;
  • maintaining certain paid storage or feature tiers, if offered;
  • other compute-intensive platform actions.

Credits are an internal usage mechanism only. They are not legal tender, stored monetary value, a bank deposit, or a transferable financial asset, except where we expressly allow a particular internal transfer or where required by law.

6. User Content and Inputs

You may submit prompts, text, files, images, video, references, start frames, end frames, editing sources, metadata, titles, keywords, identity documents, authorization letters, and other materials (“User Content”) to the platform.

You retain whatever rights you already hold in your User Content.

By submitting User Content, you grant BACKNEO a limited, non-exclusive, revocable, worldwide operational license to host, process, transmit, transform, temporarily store, analyze, moderate, generate previews from, and display that User Content solely as reasonably necessary to:

  • provide the requested service;
  • maintain related platform functions;
  • store, retrieve, or deliver outputs to you;
  • generate previews, metadata drafts, or public display materials when such features are used;
  • review Contributor submissions and marketplace listings;
  • detect abuse, fraud, infringement risk, or security issues;
  • comply with legal obligations.

You represent and warrant that you have the rights, permissions, releases, or lawful basis needed to submit and use your User Content.

You may not upload, submit, use, or rely on any third-party work as a prompt attachment, source file, reference image, reference video, start frame, end frame, editing source, or derivative input unless you have the legal right or authorization to do so.

This restriction applies whether the resulting output is kept private, exported, shared, published, licensed, sold, or otherwise distributed through BACKNEO or elsewhere.

Editing, enhancement, AI transformation, stylization, upscaling, reframing, compositing, captioning, retouching, or exporting a new file does not cure or replace missing rights in the underlying source material.

7. Generated Outputs

Subject to applicable law and the rights of others, you are generally responsible for and may use the outputs generated from your own prompts and submitted materials.

However:

  • output exclusivity is not guaranteed;
  • similar or identical outputs may be generated for other users;
  • outputs may resemble existing works, brands, persons, places, or materials;
  • outputs may contain errors, hallucinations, unsuitable details, or rights-related risks;
  • BACKNEO does not guarantee that outputs are non-infringing, accurate, complete, released, licensable, or suitable for any particular purpose.

You are solely responsible for reviewing outputs before publication, licensing, sale, reliance, or commercial use.

Rights in outputs do not override missing rights in any submitted or referenced source material. If you lack the right to use a source work, the resulting output may also be restricted, removed, rejected from storage, rejected from publication, or ineligible for sale or licensing.

8. Marketplace, Contributor, and Public Showcase Features

Some BACKNEO features may allow users to apply for Contributor access, upload works for review, list approved works in a marketplace, or share works publicly through Creative Square or similar showcase surfaces.

Unless a separate written agreement states otherwise:

  • a marketplace purchase grants only a limited license to the buyer, not ownership of the underlying intellectual property;
  • Contributor approval is a privilege, not a right;
  • BACKNEO may reject, remove, suspend, hide, delist, or reverse a submission, listing, or public share at any time where reasonably necessary for legal, rights, safety, policy, fraud, or operational reasons;
  • Creative Square and similar public surfaces are display channels, not public-domain dedications and not open download libraries;
  • public display by BACKNEO does not mean BACKNEO guarantees ownership, release status, originality, commercial clearance, or factual accuracy.

If you choose to use public showcase features, you grant BACKNEO a limited, revocable license to display, preview, promote, cache, resize, and distribute the relevant preview materials through BACKNEO-controlled surfaces as reasonably necessary to operate that feature.

9. Asset Storage and Retention

BACKNEO may temporarily or conditionally store generated assets, uploaded materials, previews, metadata, and related records in your account environment, including My Assets, collections, marketplace review queues, public showcase systems, or similar workspace features.

Unless a different period is clearly stated for a specific feature:

  • standard platform storage may be automatically cleared after an approximate retention period;
  • deleted items may pass through a temporary trash or recovery period if that feature is available;
  • temporary mobile uploads, temporary links, and similar bridge files may expire much sooner;
  • marketplace review records, compliance records, and contributor verification records may be retained longer where necessary for safety, audit, fraud prevention, dispute handling, payout administration, or legal compliance;
  • long-term preservation is not guaranteed.

You are responsible for downloading and preserving your own important work.

10. Acceptable Use

You agree not to use BACKNEO to create, upload, request, process, store, distribute, license, sell, share, or promote content or conduct involving:

  • unlawful activity;
  • copyright, trademark, privacy, publicity, or other rights infringement;
  • unauthorized third-party source materials used as references or derivatives;
  • forged releases, forged authorizations, forged identity documents, or false ownership claims;
  • deceptive marketplace listings, false metadata, keyword stuffing intended to mislead, or false commercial-clearance claims;
  • sexual exploitation or abusive sexual content;
  • child sexual content or minors in sexualized contexts;
  • graphic violence or instructions to harm others;
  • fraud, theft, impersonation, or deception intended to cause harm;
  • harassment, threats, hateful abuse, or targeted humiliation;
  • political manipulation, deceptive persuasion campaigns, or voter interference;
  • malware, system intrusion, credential theft, or abuse of technical infrastructure;
  • attempts to probe, overload, bypass, scrape, reverse engineer, or otherwise disrupt the service;
  • mass extraction or compilation of platform content to replicate or compete with BACKNEO or similar services;
  • any other use prohibited by the Content Policy.

11. Responsible Use of AI

BACKNEO uses automated systems. Outputs, metadata suggestions, previews, moderation signals, and workflow results may be inaccurate, incomplete, inconsistent, biased, outdated, or otherwise unreliable.

You must exercise independent judgment and human review before relying on any output, especially in contexts involving law, finance, health, safety, contracts, employment, education, public communications, commercial licensing, journalism, or reputational consequences.

BACKNEO is not a substitute for legal, financial, medical, or other professional advice.

12. Service Availability

The platform depends on network infrastructure, storage systems, third-party components, hosted compute resources, and external services.

Accordingly:

  • service availability may vary;
  • maintenance or upgrades may interrupt service;
  • processing times may fluctuate;
  • uploads, previews, downloads, payouts, or public shares may fail, delay, or time out;
  • some results may be blocked, hidden, delisted, or unavailable.

BACKNEO is provided on an “as available” and “as is” basis to the fullest extent permitted by law.

13. Platform Rights

The BACKNEO platform, including its branding, interface design, service architecture, original text, workflows, and visual identity, is protected by intellectual property law.

Except as expressly permitted, you may not:

  • copy or mirror the platform itself;
  • scrape or systematically extract platform materials;
  • reverse engineer protected service components;
  • reproduce, republish, resell, or commercially exploit the platform itself;
  • use platform materials or marketplace/public content to build or train a competing dataset, service, or distribution library unless we expressly permit it.

These restrictions do not prevent lawful use of your own User Content or permitted use of your own outputs.

14. Suspension and Termination

BACKNEO may suspend, restrict, delist, freeze, hold, terminate, or otherwise limit access if we reasonably believe that you:

  • violated these Terms or any platform policy;
  • submitted unauthorized source materials or infringing content;
  • misused credits, wallet functions, payout systems, or marketplace features;
  • attempted to bypass safeguards or usage limits;
  • engaged in abusive, deceptive, unlawful, or harmful conduct;
  • created unreasonable operational burden, rights risk, or security risk.

We may also remove content, deny requests, freeze Contributor balances, hold payouts, cancel public shares, or disable features when necessary for safety, legal compliance, service integrity, dispute handling, infringement review, fraud prevention, or protection of other users.

15. Disclaimer of Warranties

To the fullest extent permitted by law, BACKNEO disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, commercial usability, release sufficiency, and uninterrupted availability.

We do not warrant that:

  • the service will be uninterrupted or error-free;
  • outputs, metadata, listings, or previews will be accurate, lawful, non-infringing, or commercially usable;
  • storage will be permanent;
  • any feature will remain available;
  • any third-party dependency will continue without change;
  • any marketplace purchase, share link, or mobile bridge will remain valid for any particular period.

16. Limitation of Liability

To the fullest extent permitted by law, BACKNEO and its affiliates, controlling persons, and related operating entities shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including damages for:

  • loss of data;
  • loss of outputs or stored assets;
  • loss of listings, previews, or public shares;
  • business interruption;
  • lost profits or revenue;
  • reputational harm;
  • rights disputes involving your inputs or outputs;
  • reliance on AI-generated or AI-assisted results.

To the fullest extent permitted by law, our total liability arising out of or relating to the service shall not exceed the greater of:

  • the amount you paid to BACKNEO in the 3 months preceding the claim; or
  • USD 50.

Nothing in these Terms limits liability that cannot be lawfully limited.

17. Governing Law and Dispute Resolution

These Terms and any dispute, claim, or controversy arising out of or relating to BACKNEO shall be governed by the laws of the State of California, United States, without regard to conflict-of-laws principles.

Any dispute shall be brought exclusively in the state or federal courts located in California, United States, and you consent to the personal jurisdiction and venue of those courts.

Before filing a formal claim, you agree to first contact us at ai@backneo.com and attempt to resolve the matter informally in good faith.

18. Changes to the Terms

We may update these Terms from time to time.

When changes occur:

  • the revised version will be posted on this page;
  • the “Last updated” date will be changed;
  • continued use after the effective date constitutes acceptance of the revised Terms.

If a change is material, we may provide additional notice where reasonably appropriate.
